Section 8 (limitation of liability) is the one that actually protects you if a pricing bug costs a customer money. Have a lawyer review it before you take a paying customer.

These terms are an agreement between you and [[LEGAL ENTITY NAME]] ("we", "us") covering your use of ArgoDeck at [[DOMAIN]]. By creating an account or connecting a marketplace account, you agree to them.

1. What ArgoDeck does

ArgoDeck is software for merchants selling on Amazon. It currently provides:

Repricing — monitoring competing offers and adjusting your listing prices according to rules and profit limits that you set
Inventory and cost tracking — recording what your inventory cost and using that to calculate your price floors and margins

Further modules may be added over time. We may change, add or remove features, and will give notice of material changes to features you rely on.

2. Your account

You must be at least 18 and able to enter a binding contract
You are responsible for keeping your login credentials secure and for activity under your account
You must give accurate account information and keep it current
One account per business unless we agree otherwise in writing

3. Connecting your marketplace account

ArgoDeck works by connecting to your selling account through the marketplace's official authorisation process. You confirm that:

You are authorised to grant access to the selling account you connect
You will comply with that marketplace's own terms and policies
You may revoke our access at any time, from the marketplace or from within ArgoDeck

Revoking access stops the service working. It does not by itself cancel your subscription.

4. Pricing decisions are yours

This is the most important section, so it is in plain language.

ArgoDeck changes prices on your live listings, within limits you configure. You choose the strategies, the minimum and maximum prices, the profit targets and which listings are enabled. We execute those instructions.

You remain responsible for the prices on your listings, and for reviewing your settings. Incorrect cost data, a misconfigured strategy, or rails set too wide will produce prices you did not intend. We strongly recommend running in preview mode until you are satisfied the behaviour is correct.

5. Acceptable use

You may not:

Use ArgoDeck to break the law or any marketplace's rules
Attempt to gain unauthorised access to our systems or another customer's data
Resell, sublicense or white-label the service without our written agreement
Reverse engineer the service, or scrape it beyond normal use
Use it to coordinate pricing with other sellers in a way that breaks competition law

6. Fees and billing

Plans are priced by your monthly marketplace sales volume, and the current plans are shown on our pricing page
Subscriptions bill in advance, monthly or annually, and renew automatically until cancelled
If your sales volume moves you into a higher tier, we will notify you before the price changes
You may cancel at any time, effective at the end of the current billing period
Fees already paid are non-refundable except where required by law or where we have failed materially
We may change prices with at least 30 days' notice, and existing subscribers keep their price until the next renewal

7. Availability

We work to keep ArgoDeck available, but we do not guarantee uninterrupted service. The service depends on marketplace APIs that are outside our control, and may be unavailable during maintenance, outages or rate-limiting by the marketplace.

8. Disclaimers and limitation of liability

The service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost sales, lost Buy Box, lost data or business interruption, arising from your use of ArgoDeck, even if we were advised such damages were possible.

Our total liability for any claim is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions, so parts of this may not apply to you.

9. Your data

Your data stays yours. We handle it as described in our Privacy Policy, which forms part of these terms. You can export your cost and listing data at any time.

10. Suspension and termination

You may close your account at any time. We may suspend or terminate an account that breaches these terms, that fails to pay, or where required by law or by a marketplace. Where practical we will give notice and a chance to fix the problem first.

11. Changes to these terms

We may update these terms. For material changes we will notify account holders by email at least 30 days beforehand. Continuing to use the service after they take effect means you accept them.

12. Governing law
